Welcome to AI Labs Factory, LLC! Please take a moment to review these Terms of Service (the "Terms") and our Privacy Notice, as they govern your use of our website at article-factory.ai (the "Site"), our copy content generation services, and any content created through our services using your input (the "Generated Content"). Together, these are referred to as the "Services."

ATTENTION U.S. CUSTOMERS: Your agreement to these Terms means that you are consenting to resolve any disputes with AI Labs Factory, LLC through binding, individual arbitration instead of court proceedings. Please refer to Section 16, "Dispute Resolution," for more information about arbitration.

1. Acceptance of Terms

By utilizing our Services, you confirm your acceptance of these Terms. If you do not agree, please refrain from using our Services. If you're accessing the Services on behalf of a company or legal entity, you must have the authority to agree to these Terms on their behalf.

2. Privacy Matters

Your privacy is essential to us. Our Privacy Notice details how we collect, use, and share your information. Please take time to review it, as it also forms part of these Terms.

3. Updates to Terms or Services

We may amend these Terms at our discretion. When we do, we'll notify you by posting the revised Terms on the Site or through other communications. It's your responsibility to review the Terms periodically, especially before using our Services. Continuing to use the Services after updates means you accept the changes. Please note that we may modify or discontinue any part of the Services at our discretion and without notice.

4. Who May Use the Services?

You must be at least 18 years old and legally able to enter into this contract to use our Services. Certain features may require an account. Please provide accurate and up-to-date information and keep it current. If you fail to do so, your account may be suspended or terminated. Your account's security is your responsibility, so please keep your credentials confidential and notify us promptly of unauthorized access.

5. Feedback

We love hearing from our users! If you have feedback, comments, ideas, or suggestions (collectively, "Feedback"), we welcome them. By submitting Feedback, you grant us permission to use it freely, without restrictions or compensation.

6. Subscriptions

AI Labs Factory, LLC offers the Services on a subscription basis, and your use requires payment of applicable fees. Here's what you need to know:

(a) General Payment Information

When purchasing a subscription ("Subscription"), you'll be prompted to provide relevant payment information, such as your credit card number, expiration date, and billing addresses ("Payment Information"). By initiating a Subscription, you:

Confirm you have the legal right to use the payment method(s) provided.
Authorize us or our third-party payment processor to charge you for the Subscription, taxes, and other related charges.
Agree to our pricing, payment, and billing policies, which are non-refundable and non-transferable.

Payments are in United States dollars.

(b) Annual Subscriptions

Upon purchasing a Subscription, you'll be charged the annual Subscription fee, taxes, and any other applicable charges ("Subscription Fee"). This fee will recur each year on the anniversary of your Subscription start date, at the then-current rate.

PLEASE NOTE: Your Subscription will continue until you or AI Labs Factory, LLC cancels it, and payments are non-refundable.

(c) Cancelling Your Subscription

You may cancel your Subscription within ten (10) days of your initial purchase for a full refund. After that, no refunds are available. You can still cancel at any time, but it will only be effective at the end of the current Subscription period.

To cancel, email support@article-factory.ai. Keep in mind that you'll be responsible for all charges incurred until the end of the current Subscription period.

(d) Free Trials

We may offer Free Trials of our paid Subscriptions for a specific period. Terms and limitations will be provided at signup.

Free Trials are generally for users who haven't previously had a paid Subscription.
If you don't cancel your Subscription before the Free Trial ends, you'll automatically be charged for a paid Subscription.
To avoid charges, cancel your Subscription by midnight Eastern Time on the last day of your Free Trial, following the instructions under "Cancelling Your Subscription."

7. Your Content

a) Posting Content: Our Services allow you to share content like text, images, videos, and more, known as "User Content." Don't worry; you still own all the rights to what you post!

b) Permissions to Your User Content: By using our Services, you give us permission to use, modify, and distribute your User Content to enhance and secure our Services. We don't own it, but we can use it.

c) Your Responsibility for User Content: Please make sure your User Content doesn't break any laws or infringe on anyone's rights. You're responsible for what you post.

d) Removal of User Content: You can delete your User Content, but be aware that some copies might still exist within our Services. We'll do our best, but we can't guarantee complete removal.

e) Your Use of Generated Content: We grant you the right to use our generated content within legal bounds for your business needs.

f) Ownership of Intellectual Property: Content we provide is protected by intellectual property rights. We (and our licensors) own those rights.

8. Usage Requirements, General Prohibitions, and Our Enforcement Rights

a) You agree to use the Services lawfully, according to our Terms and any guidelines we provide, without violating anyone's rights, including ours.

b) You agree NOT to do any of the following:

Post or engage in unlawful or harmful activities.
Distribute, alter, or misuse our Services.
Extract or reverse engineer our systems.
Interfere with the functionality of the Services.
Use the Services for unauthorized commercial purposes or deceive users.
Break any laws or encourage others to do so.

We may use your content to operate our Services and enforce these Terms. If needed, we may remove or disable access to any content, including User Content, without notice.

9. Respect for Copyright

AI Labs Factory, LLC adheres to copyright law and expects you to do the same. Repeated infringement may lead to termination of your account.

10. Third-Party Websites and Resources

You can access third-party websites through our Services, but we're not responsible for them. Anything you find or use there is your responsibility.

11. Termination

We can suspend or terminate your access at any time, without notice. If you want to cancel your account, email us at support@Article-Factory.ai. Certain sections of these Terms will still apply even after termination.

12. Warranty Disclaimers

Our Services are provided "as is." We and our licensors make no promises about the Services, including their quality, accuracy, or reliability.

13. Indemnity

If something goes wrong because of your access to or use of our Services, your User Content, or your violation of these Terms, you agree to protect AI Labs Factory, LLC and its partners from any legal claims or expenses.

14. Limitation of Liability

AI Labs Factory, LLC and its service providers won't be liable for various damages, losses, or costs arising from these Terms or your use (or inability to use) the Services, including:

(a) Incidental or special damages, lost profits or data, or service interruption.
(b) Any amount greater than what you've paid us or $100, if you haven't paid us.
(c) These limitations are key parts of our agreement with you.

15. Governing Law and Court Location

These Terms will be governed by the Federal Arbitration Act and Florida law, without considering its conflicts of law provisions. Unless otherwise stated, all disputes between you and AI Labs Factory, LLC will be handled in the state and federal courts located in Palm Beach County, Florida. Both parties waive any objection to jurisdiction in these courts.

16. Resolving Disputes

(a) Arbitration of Disputes: Any dispute related to these Terms or the Services will be resolved by binding individual arbitration, not in court or class action. Both parties waive the right to a jury trial or to participate in a class action, and this provision will survive termination of these Terms.

(b) Exceptions: Disputes may be handled in small claims court if qualified, or either party may seek legal action to prevent infringement or misappropriation of intellectual property rights.

(c) Conducting Arbitration: Arbitration will be conducted by the American Arbitration Association under its rules, available at www.adr.org or 1-800-778-7879.

(d) Arbitration Costs: All fees will be governed by the AAA Rules.

(e) Injunctive and Declaratory Relief: Any award will be only in favor of the individual party and must be litigated in a civil court if it concerns public injunctive relief.

(f) Class Action Waiver: Claims may only be brought individually.

(g) Severability: If any part of these Terms is found invalid, the rest will still apply.

17. General Terms

(a) Rights: AI Labs Factory, LLC and its licensors own all rights to the Services, including intellectual property rights.

(b) Entire Agreement: These Terms replace all previous agreements regarding the Services.

(d) Waiver of Rights: Failure to enforce any part of these Terms is not a waiver of such rights.
